Terms & Conditions

These Terms & Conditions ("Terms") are an agreement between DELIVSTAT TECHNOLOGY SOLUTIONS LLP ("Delivstat", "we", "us" or "our") and you ("you" or "your"). They govern your use of this website and of the services we provide (together, the "Services").

By using this website or our Services, you agree to these Terms and to our Privacy Policy. We may update these Terms from time to time; the date above shows when they last changed.

1. Our Services

We provide:

• Consulting services: IBM Sterling Commerce implementation and support, AI and software development, and related consulting, delivered under a separate written agreement, statement of work or purchase order (an "Engagement Agreement").
• Rynko: a software-as-a-service product for document and report generation, available at rynko.dev.

2. Consulting engagements

• The scope, deliverables, fees, payment schedule and acceptance terms for each engagement are set out in its Engagement Agreement. If the Engagement Agreement conflicts with these Terms, the Engagement Agreement prevails.
• We invoice in line with the Engagement Agreement. Unless it says otherwise, invoices are payable by bank transfer within the period stated on the invoice. Fees are exclusive of applicable taxes, including GST where it applies.
• Ownership of deliverables, and any licence to our pre-existing tools and know-how, are as set out in the Engagement Agreement.

3. Rynko

Use of Rynko, including accounts, subscriptions, billing and payments through our payment processor, is governed by the Rynko Terms of Service, the Rynko Privacy Policy and the Rynko Refund Policy, which take precedence over these Terms for Rynko.

4. Use of this website

• The information on this website is provided for general information only. We try to keep it accurate and current but give no warranty as to its accuracy, completeness or suitability for any purpose.
• You must not use this website for any unlawful purpose or in a way that could damage or impair it.
• This website may link to third-party websites. We are not responsible for their content, and your use of them is governed by their own terms and policies.

5. Intellectual property

The content of this website, including text, graphics and logos, belongs to Delivstat or its licensors, unless stated otherwise. Open-source projects we publish, such as SwarmKit, are licensed under their own published licences. IBM and Sterling are trademarks of International Business Machines Corporation; Delivstat is not affiliated with or endorsed by IBM.

6. Limitation of liability

To the fullest extent permitted by law, Delivstat is not liable for any indirect, incidental or consequential loss arising from your use of this website. Liability for consulting services and for Rynko is governed by the Engagement Agreement and the Rynko Terms of Service respectively.

7. Force majeure

Neither party is liable for failure or delay in performing an obligation where the failure or delay is caused by events beyond its reasonable control.

8. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any dispute-resolution clause in an Engagement Agreement, the courts at Kottayam, Kerala have exclusive jurisdiction over any dispute arising from them.
